These Terms of Service ("Terms") govern your use of the website ecomorapol.pl (the "Website") and the services offered by ECOMORA Sp. z o.o. ("ECOMORA", "we", "us", or "our"), with its registered office at ul. Aleja Jana Pawla 2, nr 43, Warszawa, 01-001, Poland. By accessing the Website or using our services, you agree to be bound by these Terms.
1. Definitions
- "Services" — e-commerce consulting, store launch and management, product research, supplier sourcing, PREP and fulfillment, advertising management, and related services offered by ECOMORA.
- "Client" — any individual or legal entity that uses or orders the Services.
- "Agreement" — a separate written or electronic contract concluded between ECOMORA and the Client regarding specific Services.
2. Scope of Services
ECOMORA provides operational and consulting services for e-commerce businesses on marketplaces including, but not limited to, Amazon, eBay, Shopify, Etsy, Walmart, and Allegro. The specific scope, fees, and timelines of Services are defined in an individual Agreement with each Client. Information on the Website is for general informational purposes and does not constitute a binding offer.
3. Use of the Website
- You may use the Website only for lawful purposes and in accordance with these Terms.
- You must not attempt to gain unauthorized access to the Website, its servers, or any connected systems.
- You must not use the Website to transmit any harmful, unlawful, or misleading content.
4. Inquiries and Communication
Submitting an inquiry through the Website does not create a contractual relationship. A contract is concluded only upon signing a separate Agreement. We aim to respond to inquiries within one business day but do not guarantee specific response times.
5. Fees and Payment
Fees for Services are agreed individually and specified in the relevant Agreement. Unless otherwise agreed, all fees are exclusive of VAT and other applicable taxes. Payment terms, including deadlines and methods, are set out in the Agreement.
6. Client Obligations
- Provide accurate, complete, and up-to-date information necessary for the performance of the Services.
- Ensure that products, content, and materials provided to ECOMORA comply with applicable laws and marketplace policies.
- Maintain ownership and responsibility for marketplace accounts, inventory, and business decisions, unless otherwise agreed.
7. No Guarantee of Results
E-commerce involves inherent commercial risk. While we apply professional skill and care, ECOMORA does not guarantee any specific level of sales, revenue, or profit. Any figures, projections, or examples presented on the Website or during consultations are illustrative and do not constitute a promise of results.
8. Intellectual Property
All content on the Website, including text, graphics, logos, and design, is the property of ECOMORA or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, ECOMORA shall not be liable for indirect, incidental, or consequential damages, including loss of profit, arising from the use of the Website or Services. Our total liability under any Agreement shall not exceed the fees paid by the Client for the Services giving rise to the claim, unless mandatory law provides otherwise.
10. Third-Party Platforms
The Services relate to third-party marketplaces and platforms whose rules and decisions are outside our control. ECOMORA is not responsible for actions taken by such platforms, including account suspensions, policy changes, or fee adjustments.
11. Privacy
Processing of personal data is described in our Privacy Policy, which forms an integral part of these Terms.
12. Termination
Termination conditions for specific Services are set out in the relevant Agreement. We may suspend or restrict access to the Website at any time in case of a breach of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Poland. Any disputes arising from these Terms or the use of the Website shall be subject to the jurisdiction of the competent courts in Warsaw, Poland, unless mandatory consumer protection law provides otherwise.
14. Changes to These Terms
We may amend these Terms from time to time. The current version will always be available on this page with the "Last updated" date. Continued use of the Website after changes constitutes acceptance of the amended Terms.
